Welcome to KALEOM LTD (“KALEOM,” “we,” “us,” or “our”). By accessing our website, you agree to be bound by these Terms of Service. Please read them carefully.

1. The KALEOM Platform Service

KALEOM LTD provides a digital marketplace and coordination platform. We do not own the farms, the produce, or the logistics vehicles. We act as an intermediary that facilitates:

• Connections between Farmers and Buyers.
• Access to third-party Fintech services (Credit/Insurance).
• Coordination of third-party Logistics providers.

2. User Accounts & Eligibility

• Registration: You must provide accurate and complete information during registration.
• Eligibility: Farmers must be at least 18 years old and have the legal right to sell the produce listed.
• Security: You are responsible for maintaining the confidentiality of your account credentials (PIN/Password).

3. Marketplace & Transaction Terms

• Product Listings: Farmers are responsible for the accuracy of crop descriptions, quality grades, and availability.
• Pricing: Prices are negotiated or set on the platform. KALEOM charges a service fee (commission) on every completed transaction, which is deducted before the final payout to the farmer.
• Contract of Sale: When a buyer accepts a listing, a legally binding contract is formed directly between the Buyer and the Farmer. KALEOM is not a party to this contract but facilitates its execution.

4. Fintech & Third-Party Services

• Credit & Insurance: Financial products (e.g., input loans) are provided by third-party financial institutions. KALEOM facilitates the application and data sharing but is not a bank or an insurer.
• Approval: Approval for credit is at the sole discretion of the lending partner based on KALEOM’s data and the partner’s risk assessment.

5. Logistics & Delivery

• Service Providers: Delivery is performed by third-party logistics (3PL) partners.
• Liability: KALEOM is not liable for delays, accidents, or damage occurring during transit, but we will mediate disputes between the user and the logistics provider according to our [Delivery Policy].

6. Prohibited Activities

Users agree not to:

• List illegal, hazardous, or prohibited agricultural chemicals.
• Bypass the KALEOM platform to complete transactions initiated through our service (Disintermadiation).
• Provide fraudulent yield data to obtain credit.

7. Limitation of Liability

To the maximum extent permitted by law, KALEOM LTD shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, crop failure, or market fluctuations. Our total liability for any claim shall not exceed the service fee paid to KALEOM for the specific transaction in question.

8. Dispute Resolution

• Mediation: In the event of a dispute between a Farmer and a Buyer, users agree to first undergo KALEOM’s internal mediation process.
• Governing Law: These terms are governed by the laws of the Federal Republic of Nigeria.

9. Modifications to Terms

KALEOM LTD reserves the right to modify these terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the new terms.
